Contract Between Member and Creator

This Contract Between Member and Creator (the "Agreement") governs each paid interaction between a member ("Member") and a creator ("Creator") on the Platform.

This Agreement supplements the Terms of Service, the Creator Agreement, and other applicable Platform policies. If there is a conflict between this Agreement and the Terms of Service, the Terms of Service control with respect to the Company's rights, role, and protections.

1. Parties and Platform Role

The parties to the underlying paid interaction are the Member and the Creator. BIG TECH CORP and its affiliates are not parties to the underlying bargain except to the limited extent expressly stated in Platform documents.

The Company is an intended third-party beneficiary of provisions in this Agreement that disclaim Company liability, preserve Company enforcement rights, allocate responsibility away from the Company, or otherwise protect the Platform.

2. When This Agreement Applies

This Agreement applies each time a Member subscribes, tips, unlocks content, buys pay-per-view media, commissions content, purchases a message unlock, funds a goal, or otherwise pays a Creator through the Platform.

3. Nature of the Creator Interaction

A paid interaction may relate to content, access, attention, roleplay, companionship, entertainment, or another creator-defined experience. Unless the Creator expressly promises a specific deliverable through Platform tools, the Creator does not promise any particular fantasy outcome, emotional experience, timing, exclusivity, response style, manual effort level, or handcrafted result.

The Member acknowledges that a Creator's content, messages, chats, voice notes, captions, images, videos, or interactions may be:

  • fully or partly AI-generated;
  • fictional, roleplayed, or agency-assisted;
  • asynchronous, delayed, templated, simulated, or automated; or
  • different from the Member's subjective expectations.

The Member may therefore not receive the exact content, service, style, timing, tone, attention level, or experience the Member hoped for or expected.

4. Creator Discretion and Limited Undertaking

Unless the Creator makes an express written promise through Platform tools, the Creator's only undertaking is to make the relevant paid interaction or content available through the Platform if and when the Creator chooses, subject to the Platform's rules, legal limits, moderation action, technical availability, and the Creator's own discretion.

The Creator may change creative direction, posting style, message cadence, persona, use of AI, or the way a service is performed, subject to Platform rules and applicable law.

5. Payment Terms

Payments settle on-chain in supported digital assets. By paying a Creator, the Member authorizes the split-routing described in the Terms of Service, including the Platform fee and any collaboration split shown before signature.

Blockchain settlement is irreversible once confirmed. The Company cannot reverse or charge back an immutable on-chain transfer.

6. Final Sale; No Cancellation; No Refunds

Except where non-waivable law requires otherwise:

  • all paid interactions are final and non-refundable;
  • digital content or digital services are treated as supplied immediately or on demand;
  • any statutory cancellation or cooling-off right is waived to the maximum extent permitted by law; and
  • dissatisfaction, changed expectations, delayed replies, creative differences, or the Creator's use of AI, fictional personas, or team assistance do not create a refund right against the Company.

Nothing in this Agreement eliminates any non-waivable right that mandatory law gives the Member directly against the Creator or the Company.

7. No Warranties by the Company

The Company does not warrant or guarantee:

  • creator performance;
  • creator identity, authenticity, or manual participation level;
  • content quality, legality, completeness, or suitability for a Member's tastes;
  • that the Creator will respond within any particular time; or
  • that the Creator will continue offering access, posting frequency, or any specific persona.

8. Content License and Restrictions

If a paid interaction grants access to content, the Member receives only a limited, personal, revocable, non-transferable, non-sublicensable license to view or access that content through the Platform for lawful personal use.

The Member may not copy, capture, record, redistribute, scrape, train AI models on, resell, publish, or exploit Creator content except where the Platform expressly permits it in writing.

9. Expiry and Removal

Any access or license granted in connection with a paid interaction may end immediately, without notice, if:

  • the relevant content is removed or disabled;
  • the Member's account is suspended or terminated;
  • the Creator's account is restricted or terminated;
  • the paid interaction is tied to a subscription or time-limited access period that ends;
  • the Member breaches Platform rules; or
  • the Platform is required to restrict or remove access for safety, legal, moderation, or technical reasons.

10. Disputes Between Member and Creator

Disputes about delivery, expectations, authenticity, quality, timing, collaboration issues, or creator behavior are matters between the Member and the Creator, subject to Platform policies and any mandatory law.

The Company may, but is not required to, facilitate communication or preserve evidence. The Company has no duty to investigate the merits of every private dispute, to mediate, or to provide refunds or replacements.

11. No Reliance on Subjective Expectations

The Member agrees not to claim that the Company guaranteed any fantasy, relationship dynamic, authenticity level, manual participation level, exclusivity level, emotional outcome, or subjective satisfaction simply because the Creator or the Platform allowed access to the interaction.

12. Governing Law and Dispute Handling

To the maximum extent permitted by law, this Agreement is governed by the laws of Panama, without regard to conflict-of-law rules. Any dispute arising under this Agreement shall be resolved on an individual basis only and not as part of any class or representative action, except where mandatory law requires otherwise.

13. Third-Party Beneficiary

The Company and its affiliates may rely on and enforce any provision of this Agreement that protects the Company, limits the Company's role, preserves the Company's enforcement rights, or excludes or limits the Company's liability.
