Creator Agreement

This Creator Agreement is between you ("Creator") and BIG TECH CORP. By applying to become, being approved as, or acting as a creator on the Platform, you agree to this Agreement in addition to the Terms of Service.

1. Verified Creators Only (Mandatory Full KYC)

To publish, monetize, message as a creator, receive funds, be listed on the Platform, or participate in collaboration routing, you must complete identity and age verification and any enhanced due diligence we require using Ageevidence or another provider we designate.

Verification may include:

• government-issued ID;
• selfie, liveness, motion, or biometric comparison checks;
• duplicate-account, sanctions, fraud, PEP, watchlist, adverse-media, or risk screening;
• proof of address or source-of-funds/source-of-wealth information;
• tax, business, beneficial-owner, or controller information;
• wallet screening, chain analytics, and transaction-pattern review; and
• any additional compliance or safety steps we require.

We may require re-verification at any time, including upon wallet changes, account transfers, collaborator changes, unusual activity, serious reports, law-enforcement requests, or other risk events.

2. Independent Creator Status; No Agency

You are an independent user of the Platform and not our employee, worker, agent, partner, franchisee, representative, joint venturer, or fiduciary.

You are solely responsible for:

• your content, personas, messages, advertising, conduct, and services;
• all collaborators, agencies, assistants, editors, moderators, chat operators, sales staff, managers, or team members acting for you;
• compliance with applicable laws, tax rules, and recordkeeping duties; and
• obtaining and maintaining all rights, releases, permissions, and consents.

Any act or omission by a person operating or assisting your creator account is deemed your act or omission.

3. Age, Consent, Welfare, and Recordkeeping Obligations

You represent, warrant, and covenant on a continuing basis that:

• every real person depicted, heard, referenced as a performer, or materially featured in your content is an adult legally permitted to participate;
• each such person gave informed, voluntary, written consent to the creation, use, monetization, editing, AI-processing if applicable, distribution, and display of the relevant content;
• you verified the age and identity of each such person using reliable documentation before publication;
• you maintain complete, accurate, current, and retrievable records proving age, identity, consent, rights clearance, and collaboration authority; and
• you will promptly provide those records to us upon request for safety, legal, audit, moderation, or enforcement purposes.

You must not upload or monetize content if you have reason to believe a participant was coerced, trafficked, deceived, intoxicated, incapacitated, under duress, or otherwise unable to give legally valid consent.

You must retain performer documentation, releases, IDs, and supporting records for as long as required by applicable law and, at a minimum, for so long as the content remains on the Platform and for a reasonable period thereafter sufficient to address complaints, investigations, charge disputes, audits, and legal claims.

4. U.S.-Style Recordkeeping and Producer Status Disclaimer

If any U.S.-style age-record, records-custodian, or producer-recordkeeping regime applies to your content, you remain solely responsible for compliance unless we expressly agree otherwise in writing.

Nothing in these Terms or the Platform makes the Company the primary producer, records custodian, co-producer, or legal employer of any performer merely because we host, moderate, route transactions, or apply safety checks.

5. Rights Clearance and Legal Compliance

You represent and warrant that you own or control, and will continue to own or control, all rights necessary to upload, display, market, license, and monetize your content, including rights relating to:

• copyright and neighboring rights;
• trademarks, trade dress, branding, and domain rights;
• privacy and publicity rights;
• locations, props, music, artwork, software assets, and third-party materials; and
• synthetic or AI-generated elements that may resemble real persons.

You are solely responsible for ensuring your content is legal in every jurisdiction where you create, upload, direct, promote, or cause it to be distributed, even if the Platform blocks some markets.

6. AI Content, Personas, Automations, and Managed Accounts

Creators may operate multiple companions or personas, including:

• the Creator's own identity;
• roleplay identities;
• fictional characters;
• AI personas; and
• hybrid identities combining creator input and AI generation.

You may use AI tools, automation tools, scripts, editors, moderators, translators, or managed teams in connection with your creator account, subject to these rules:

• you remain fully responsible for everything sent, generated, posted, or sold through your account;
• you must not use AI to create unlawful, infringing, deceptive, or prohibited content;
• you must not use AI to impersonate real people without authorization;
• you must not create personas that depict, imply, simulate, or suggest minors, age-play, school-age traits, or looks-underage themes; and
• you must comply with any disclosure settings, labels, or restrictions we require.

The Company does not verify that any message, image, audio, or video is manually created, personally authored, or free from AI assistance.

7. Strict Content and Service Restrictions

You may not upload, post, stream, sell, request, arrange, or monetize Prohibited Content or Prohibited Services, including:

• minors, suspected minors, or anyone appearing underage;
• bestiality, incest, trafficking, coercion, or exploitation;
• non-consensual content, leaks, hidden-camera content, or NCII;
• sexual violence, forced acts, or simulated non-consent presented as real;
• unauthorized deepfakes or misleading use of a real person's likeness or voice;
• escorting, prostitution, in-person sexual services, off-platform sexual services, or paid meetups;
• doxxing, threats, blackmail, or unlawful invasions of privacy;
• unlawful drugs, illegal weapons, terrorism-related material, or other illegal goods or services; and
• content that infringes third-party rights or violates applicable law.

8. Member Relationship; No Promise of Results

Your paid relationship with a member is directly between you and that member and is governed by the Contract Between Member and Creator.

You are solely responsible for any promises, descriptions, deliverables, timelines, exclusivity claims, custom content commitments, access expectations, interaction expectations, roleplay expectations, or authenticity claims that you make.

Unless you expressly promise something through Platform tools, you do not promise that a member will receive any specific fantasy outcome, emotional experience, communication style, response speed, manual attention level, or handcrafted result. The Company is not responsible if a member is dissatisfied, claims that content or service was not what they expected, or alleges that messages, responses, or content were AI-assisted, fictional, delayed, or different from their subjective expectations.

9. Monetization, Fees, Routing, Wallet Risk, and Taxes

9.1 On-Chain Routing Model

When a user pays, the transaction routes:

• a platform fee to the Company address; and
• the remaining amount to you or to multiple creators per the split shown.

9.2 Your Wallet Risk

You are solely responsible for the correctness, control, legality, and security of any wallet address you submit. We are not responsible for loss caused by an incorrect wallet, unsupported network, incompatible token, compromise of your signing device, or later wallet dispute.

9.3 Compliance Holds and Feature Restrictions

We may delay creator activation, disable monetization tools, refuse future routing, require extra information, or preserve evidence if we detect fraud, sanctions risk, consent issues, underage risk, or other material compliance concerns.

9.4 Taxes

You are solely responsible for your own tax reporting, invoicing, withholding, registrations, beneficial-owner disclosures, and compliance. We do not provide tax, legal, or accounting advice.

10. Collaboration Content and Split Responsibilities

If you create or monetize content with more than one creator, the Creator Collaboration Terms apply in addition to this Agreement.

Without limiting those terms, you acknowledge and agree that:

• collaboration terms are determined solely by the creators;
• the Company is not a party to the collaboration agreement;
• the creators are solely responsible for split percentages, wallet addresses, rights, permissions, and revenue allocation; and
• the Platform's display of a split or routing of funds does not confirm that the split is accurate, fair, lawful, or complete.

11. Crowdfunding Goals, Bundles, and Custom Content

You may offer crowdfunding goals, bundles, or custom-content opportunities subject to these rules:

• contributions are final and non-refundable except where mandatory law requires otherwise;
• goals are not escrow and do not create any Company guarantee;
• you must not misrepresent what backers or buyers may receive;
• you remain solely responsible for all promises, stretch goals, delivery statements, and descriptions; and
• we may remove offers or restrict accounts for suspected fraud, deception, or legal risk.

12. Platform Review Rights; Removal; Emergency Action

We may review, moderate, flag, limit, disable, demonetize, de-rank, age-gate, geo-block, remove, preserve, or disclose content or account data, and restrict or terminate accounts, for policy violations, credible complaints, legal risk, safety concerns, operational reasons, or risk management, with or without notice.

13. Cooperation Duty

You must promptly cooperate with our trust-and-safety, verification, legal, wallet-screening, tax, and compliance reviews. This includes promptly responding to requests for:

• updated identification or KYC materials;
• performer age, consent, and release records;
• collaborator information and split documentation;
• source materials or creation context;
• explanations relating to complaints, disputes, or suspicious activity; and
• statements needed to respond to rights claims, regulatory requests, or legal process.

Failure to cooperate is a material breach of this Agreement.

14. License to Host and Operate

You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, adapt, moderate, hash, fingerprint, distribute, and otherwise use your content as necessary to operate the Platform, provide safety enforcement, investigate complaints, comply with law, improve moderation and detection systems, and market the Platform, subject to your visibility settings where applicable.

15. Enforcement, Setoff, and Platform Protection

We may apply warnings, removals, restrictions, suspensions, bans, evidence preservation, wallet bans, linked-account bans, and permanent exclusion. To the extent we control future platform fees, incentives, balances, or monetization features, we may set off or withhold amounts reasonably connected to your violations, fraud, false statements, missing records, or legal exposure, to the extent permitted by law and our technical model.

16. Disclaimers, Limitation, and Indemnity

You agree to the disclaimers and limitation of liability in the Terms of Service. In addition, you will defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and service providers from claims arising out of or related to:

• your content, messages, personas, services, or monetization activity;
• alleged underage content, missing consent, trafficking indicators, welfare failures, or recordkeeping failures;
• disputes with collaborators, members, agencies, moderators, managers, or service providers;
• AI-generated or synthetic content associated with your account; or
• any breach of this Agreement or law.

17. Governing Law and Arbitration

Panamanian law applies. Any dispute shall be resolved by binding arbitration in Panama City, Panama, in English, except where mandatory law requires otherwise.

Companion / Persona Policy Summary

• Creators may run multiple companions or personas, including fictional, AI, or hybrid personas.
• AI or fictional companions must be labeled where required by Platform tools.
• No impersonation of real persons without consent.
• No unauthorized deepfakes of real persons.
• No underage-coded personas, age-play, or looks-underage content.
• Creators remain responsible for all messages and content sent through their accounts, including AI-assisted outputs.
